Terms & Conditions

Entity: ProZsphere Ventures Private Limited ("ProZsphere", "we", "our"). Counterparty: API Developer/Integrator ("Developer", "you"). These API Terms of Use ("API Terms") govern your access to and use of the ProZsphere API. By registering, accessing, or using the ProZsphere API, you agree to be bound by these Terms.

By integrating or registering any application, product, or service that uses the ProZsphere API ("Developer Application"), you agree to comply with these API Terms, the ProZsphere Terms of Service, and applicable laws. If you are acting on behalf of an entity, you represent that you are authorized to bind that entity.

• ProZsphere API: A set of web-based services enabling programmatic access to ProZsphere's systems, data, and consulting services across Healthcare, Legal, Finance, and Infrastructure verticals.
• ProZsphere Content: Any data, content, or executables accessed via the ProZsphere API.
• User Data: Any personal or professional information related to end-users (doctors, lawyers, CAs, engineers, or clients) collected through the API.

• Registration: Provide accurate information during registration. Access credentials issued to you are confidential and non-transferable.
• Compliance: Developer Applications must comply with these API Terms, data protection laws, and professional regulatory guidelines applicable to licensed experts.
• Security: Developer must implement reasonable safeguards to protect User Data.

You may use the ProZsphere API solely to:

• Enable users to connect with licensed professionals across the four verticals.
• Facilitate service booking, consultation, communication, and payments on ProZsphere.
• Build value-added solutions aligned with ProZsphere's B2C and B2B ecosystem.

You must not:

• Use the API for unlawful activities, gambling, adult content, or sale of restricted products.
• Misuse User Data for profiling, discrimination, advertising, or resale.
• Scrape, replicate, or reverse-engineer ProZsphere Content.
• Circumvent security measures or exceed rate limits.
• Create competing platforms using ProZsphere Content or credentials.

ProZsphere grants you a limited, non-exclusive, non-transferable license to use the API solely in compliance with these Terms. All rights not expressly granted remain with ProZsphere.

• You may only use User Data for the specific transaction requested by the user.
• Cached data must be deleted within 24 hours unless explicitly permitted.
• Upon termination, you must delete all ProZsphere Content and certify compliance.

• You must obtain informed consent from users before collecting or processing their data.
• Your Developer Application must have a privacy policy and user agreement aligned with applicable laws.

• ProZsphere retains ownership of the API, Content, and related materials.
• You retain ownership of your Developer Application, but grant ProZsphere a license to use, display, and promote it within the platform ecosystem.

Currently, the API is provided at no charge. ProZsphere reserves the right to introduce fees for API usage in the future with prior notice.

• These Terms remain in effect until terminated.
• You may terminate by ceasing use of the API and deleting all ProZsphere Content.
• ProZsphere may suspend or terminate access at any time for violations or platform integrity reasons.

The API is provided "as is" and "as available" without warranties of any kind. ProZsphere disclaims all implied warranties including merchantability, fitness for purpose, and non-infringement.

ProZsphere shall not be liable for indirect, incidental, or consequential damages, including lost profits or data, arising from use of the API.

You agree to indemnify and hold ProZsphere harmless from claims, damages, or liabilities arising from your Developer Application or breach of these Terms.

Access credentials and non-public API details are ProZsphere's confidential information. You must not disclose them except as required to operate your Application.

These Terms are governed by the laws of India. Courts in Bhubaneswar, Odisha shall have exclusive jurisdiction over disputes.

• No Partnership: The relationship is independent contractor only.
• No Waiver: Failure to enforce rights does not waive them.
• Severability: If any provision is invalid, the remainder will remain enforceable.
• Entire Agreement: These Terms supersede prior agreements relating to the API.
