ProZsphere operates strictly as a technology facilitation platform and does not provide medical, financial, architectural, or engineering services. All services are independently rendered by licensed professionals, and ProZsphere neither controls nor supervises such services. This Policy is framed in compliance with the Information Technology Act, 2000, the SPDI Rules, 2011, and, where applicable, the Digital Personal Data Protection Act, 2023 ("DPDP Act").

Role of ProZsphere

ProZsphere acts as a Data Fiduciary under the DPDP Act in respect of personal data processed through the Platform. Its role is limited to enabling user registration, facilitating discovery of professionals, managing scheduling and communication, and providing secure payment facilitation. ProZsphere does not participate in, control, or influence the professional services rendered and shall not be responsible for the accuracy, legality, quality, or outcome of such services.

Categories of Data Collected

ProZsphere may collect and process personal data including:

  • Basic identification and contact details (such as name, email, phone number, address, and profile information)
  • Professional information (including qualifications, licenses, and experience for listed professionals)
  • Transaction-related financial data (processed through secure third-party payment gateways)
  • Device and usage data (including IP address, device identifiers, and activity logs)
  • Where applicable, sensitive personal data such as financial information, health-related information, and authentication credentials

Collection of such data is limited to what is necessary for lawful purposes of the Platform.

Purpose of Processing

Personal data is processed strictly for lawful and specified purposes, including:

  • Account creation and authentication
  • Enabling professional discovery and engagement
  • Facilitating communication and scheduling
  • Processing payments
  • Preventing fraud
  • Resolving disputes

ProZsphere does not process personal data for any purpose inconsistent with the DPDP Act or applicable law.

By accessing or using the Platform, Users provide their free, informed, specific, and unambiguous consent to the collection and processing of their personal data in accordance with this Policy. Users may withdraw consent at any time or request correction or deletion of their data, subject to applicable legal, regulatory, and contractual obligations, including record retention requirements.

However, Users acknowledge that no digital system is entirely secure, and ProZsphere does not guarantee absolute protection against all cyber risks beyond its reasonable control.

Personal data is retained only for as long as necessary to fulfil the purposes set out in this Policy, including service delivery, dispute resolution, and compliance with applicable legal, tax, and regulatory obligations. Upon valid deletion requests, data shall be securely deleted or irreversibly anonymised, unless retention is mandated by law.

The Platform is intended solely for individuals aged 18 years and above. ProZsphere does not knowingly collect personal data from minors and shall take appropriate steps to delete such data upon becoming aware of its collection.

Cross-Border Data Transfers

Personal data may be processed or stored outside India. In such cases, ProZsphere ensures that appropriate safeguards, including contractual protections and compliance with applicable legal standards, are implemented to protect such data.

In accordance with applicable law, Users may contact the designated Grievance Officer for any complaints or concerns regarding data processing. ProZsphere shall address such grievances within the timelines prescribed under applicable law.

To the fullest extent permitted by law, ProZsphere shall not be liable for:

  • Any professional services rendered by independent professionals
  • Any acts or omissions of third-party service providers
  • Any unauthorised access to data arising from circumstances beyond its reasonable control

ProZsphere reserves the right to modify this Policy from time to time. Material changes shall be notified through the Platform or via email. Continued use of the Platform constitutes acceptance of the revised Policy.

Purpose and Scope

This Policy governs the onboarding, listing, and continued presence of professionals on the Platform and ensures compliance with applicable statutory frameworks, professional regulations, and ethical standards across all professions. This Policy shall be read in conjunction with the Platform Terms and Conditions and other applicable policies.

Platform Positioning

ProZsphere operates strictly as a neutral technology intermediary and facilitator, providing digital infrastructure for discovery, communication, scheduling, and payment facilitation. ProZsphere does not provide, endorse, recommend, rank, certify, or influence professional services, nor does it exercise any control, supervision, or oversight over professional judgment. All engagements are independent arrangements between Users and Professionals.

Regulatory Compliance

Professionals listed on the Platform shall comply with all applicable laws, statutory regulations, and professional codes of conduct, including but not limited to those issued by the National Medical Commission, Institute of Chartered Accountants of India, Council of Architecture, and relevant engineering or professional bodies. Each Professional represents and warrants that they hold valid registration/licensure and shall maintain such compliance at all times. Any lapse, suspension, or cancellation of such registration shall be promptly notified to ProZsphere.

Nature of Listings

All listings on the Platform shall be strictly factual, neutral, and non-promotional, and shall not constitute advertising, solicitation, endorsement, or inducement. The Platform shall function as a directory-style interface, and no listing shall be construed as a recommendation or certification by ProZsphere.

Information Display

Only verified and factual information shall be displayed, including name, qualifications, registration details, experience, areas of practice, location, and availability. Such information is displayed solely for informational and facilitation purposes. Professionals shall be solely responsible for the accuracy, completeness, and legality of all information submitted and displayed.

Ratings and Reviews

To ensure compliance with professional regulations, ProZsphere shall restrict, moderate, or prohibit public ratings, testimonials, endorsements, or comparative assessments where such practices are restricted or prohibited under applicable law. Any internal feedback collected shall be used solely for compliance monitoring, dispute resolution, fraud prevention, and quality assurance, and shall not be used for public promotional purposes.

Prohibition on Promotions and Inducements

ProZsphere does not permit paid promotions, sponsored listings, ranking manipulation, algorithmic boosting, discount schemes, referral incentives, or any form of preferential visibility that may contravene professional ethics or statutory regulations. Any platform fee charged is strictly for technology facilitation and shall not be construed as commission, referral consideration, inducement, or consideration for client procurement.

Verification and Compliance Monitoring

All Professionals must undergo verification, including submission of valid registration/licensing documents, identity verification, and self-certification of regulatory compliance. ProZsphere reserves the right to conduct periodic audits, re-verification, credential checks (including through third-party agencies), and compliance monitoring at its discretion. ProZsphere may rely on platform records, system logs, and submitted documentation as conclusive evidence for such purposes.

Professional Responsibility and Independence

All services rendered through the Platform are provided independently by Professionals in their individual professional capacity. Professionals shall retain full responsibility for their advice, services, and deliverables. Nothing on the Platform shall be construed as creating any partnership, agency, employment, or joint venture relationship between ProZsphere and any Professional.

Misrepresentation and Prohibited Conduct

Professionals shall not misrepresent their qualifications, experience, registrations, affiliations, or capabilities, nor make any false, misleading, or unsubstantiated claims. Any such conduct shall constitute a material breach of this Policy and may attract immediate suspension, removal, and reporting to relevant authorities, in addition to applicable legal consequences under law.

Indemnity

The Professional agrees to indemnify, defend, and hold harmless ProZsphere, its directors, officers, and affiliates from and against any claims, liabilities, damages, losses, regulatory actions, or expenses arising out of or related to: (a) breach of applicable laws or professional regulations; (b) misrepresentation or false information provided; (c) professional services rendered; or (d) violation of this Policy.

Enforcement and Platform Rights

In case of any violation of applicable law, professional codes, or Platform policies, ProZsphere reserves the absolute right to suspend, restrict, delist, or permanently terminate a Professional's account without prior notice. ProZsphere may also withhold payouts, conduct investigations, and report violations to relevant regulatory authorities where required.

Data Usage and Visibility Control

Professionals acknowledge that their profile information may be displayed to Users in a neutral, non-promotional format for the limited purpose of facilitating services. ProZsphere retains the right to determine the manner, format, and visibility of such listings to ensure regulatory compliance and platform integrity.

Limitation of Liability

To the fullest extent permitted under law, ProZsphere shall not be liable for any acts, omissions, advice, services, or outcomes arising from engagements between Users and Professionals. ProZsphere shall not be responsible for professional negligence, deficiency of service, or any contractual disputes between Users and Professionals.

Policy Updates

ProZsphere reserves the right to amend, modify, or update this Policy from time to time to ensure continued compliance with applicable laws and regulatory requirements. Continued use of the Platform shall constitute acceptance of such updates.

All services are rendered independently by licensed professionals, and Users engage such Professionals at their own discretion and risk. ProZsphere disclaims all liability for the quality, accuracy, legality, or outcome of any professional services.
